1. Scope of Services
These Terms and Conditions govern the provision of services by the Agency to the client (the "Client"). Depending on the accepted quotation, the services may include:
- Website development — design, development and optimisation of web platforms;
- Social media management — channel management, content creation and monitoring;
- Advertising — creation and management of advertising campaigns (e.g. Meta Ads, Google Ads).
The specific scope, deliverables, fees and timelines of each engagement are defined in the written quotation or proposal accepted by the Client, which together with these Terms forms the entire agreement between the parties.
2. Website Development and Revisions
- Project phases. Each project is organised in phases (e.g. design approval, development, testing, launch). Each phase begins once the previous one has been approved by the Client.
- Client materials. The Client shall provide all texts, images, logos and access credentials within 15 days of project start. Delays attributable to the Client will extend the delivery schedule accordingly.
- Included revisions. A maximum of 2 revision rounds on the approved draft are included in the quoted price.
- Additional work. Structural changes after approval, or requests beyond the included revisions, will be charged at €50 per hour, subject to prior written confirmation by the Client.
3. Social Media Management
- Editorial plan. The Agency delivers the monthly editorial plan by the 25th day of the preceding month.
- Approval. The Client shall approve the plan or request changes within 5 days of delivery. In the absence of feedback within this period, the material is deemed approved and will be published as scheduled.
- Access. The Client undertakes to provide the necessary account access through secure means (e.g. Business Manager roles or partner access, never plain-text passwords).
4. Advertising Services (Paid Campaigns)
- Advertising budget. The media spend (ad spend) is borne exclusively by the Client and is separate from the Agency's fees.
- Payment method. The Client shall register their own payment card directly on the advertising platforms (Meta, Google, etc.). The Agency never advances advertising budget on behalf of the Client.
- Obligation of means. The Agency manages and optimises campaigns with the highest professional diligence. However, given the auction-based nature of advertising markets and factors outside the Agency's control, the Agency does not guarantee any minimum number of sales, leads or conversions.
5. Intellectual Property and Licences
- Copyright. All rights in source code, graphics and content created by the Agency remain the property of the Agency until full payment of the relevant invoices.
- Transfer of ownership. Upon full payment, ownership of the website and of the content created for the Client is transferred to the Client, with the exception of third-party plugins, themes, stock assets and software subject to their own licences, whose renewal fees remain the Client's responsibility.
6. Fees, Payments and Suspension
- Payment terms. Unless otherwise agreed in the quotation, payments shall be made by bank transfer as follows: 30% deposit on acceptance, 40% at mid-project, 30% on delivery. Recurring services are invoiced monthly in advance.
- Late payment. If payment is not received within 15 days of the due date, the Agency may immediately suspend all services (including taking staging sites offline, pausing campaigns and stopping social publications) without any liability for damages, and may charge statutory late-payment interest under Maltese law.
7. Term and Termination
- Recurring services (Social/Ads). Contracts for recurring services have a minimum term of 6 months.
- Renewal. After the minimum term, the contract renews automatically on a monthly basis unless terminated by written notice (email with confirmation of receipt to ciampaelectronics@gmail.com) at least 30 days before the renewal date.
- Early termination of website projects. If the Client withdraws during development, the deposit is non-refundable and any work performed beyond the deposit's value will be invoiced at the hourly rate in Section 2.
8. Data Protection and Governing Law
- GDPR. Both parties undertake to process personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the Maltese Data Protection Act (Cap. 586). Where the Agency processes personal data of the Client's own customers on the Client's behalf, the Agency acts as Data Processor and the Client as Data Controller; a data processing agreement pursuant to Article 28 GDPR will be executed where required. - Governing law and jurisdiction. These Terms are governed by the laws of Malta. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Courts of Malta, without prejudice to any mandatory consumer protection rules applicable in the Client's country of residence.
9. Final Provisions
- If any provision of these Terms is held invalid, the remaining provisions remain in full force.
- The Agency may update these Terms; the version in force at the time of acceptance of the quotation applies to each engagement.
